1. Agreement to these Terms
These Terms of Service ("Terms") govern access to and use of WatchLlama's websites, applications, buying-signal monitoring, lead-enrichment, outreach, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms.
You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for the actions of users you invite to your workspace.
3. The Service
WatchLlama helps users define buying-signal criteria, monitor selected public sources, review and enrich potential leads, and prepare or automate outreach. We may improve, add, remove, or modify features over time. We do not guarantee that any source, integration, signal, lead, enrichment, delivery, response, meeting, sale, or business result will be available or accurate.
4. Your content and instructions
You retain your rights in the content, data, criteria, messages, and materials you submit to the Service ("Customer Content"). You grant WatchLlama a limited license to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, support, and improve the Service and to comply with law.
You represent that you have all rights and permissions needed for Customer Content, connected accounts, monitoring instructions, contact data, and outreach activities.
5. Acceptable use
You may not use the Service to:
- violate law, platform rules, intellectual-property rights, privacy rights, or contractual restrictions;
- send unlawful spam, deceptive messages, harassment, threats, or discriminatory content;
- impersonate another person or misrepresent your identity, affiliation, product, or intent;
- collect or use sensitive personal information without a lawful basis and appropriate authorization;
- bypass access controls, probe security, introduce malware, or disrupt the Service;
- reverse engineer, copy, resell, or exploit the Service except as expressly permitted by law or a written agreement; or
- use automated output without reasonable human review where an error could materially affect a person.
6. Third-party services and sources
The Service may rely on or connect to third-party websites, public sources, AI providers, payment processors, email and calendar providers, enrichment services, and other integrations. Their terms and privacy policies govern their services. We are not responsible for third-party content, availability, changes, security, or actions. You are responsible for maintaining any third-party accounts and permissions required for your use.
7. AI-assisted output
The Service uses automated systems to classify signals, research information, summarize evidence, recommend actions, and draft messages. Output may be inaccurate, incomplete, or similar to output generated for others. You must independently review output and decide whether it is appropriate, lawful, and accurate before relying on it or sending it to another person.
8. Trials, fees, and billing
Paid plans are billed at the price and cadence shown when you subscribe. Prices exclude taxes unless stated otherwise. You authorize our payment processor to charge applicable fees and taxes. Usage limits, credits, features, and renewal terms are described on the pricing or checkout page.
A trial may end or lose paid features when its stated period expires. Unless checkout states otherwise, you may cancel a paid subscription before renewal and retain access through the end of the paid period. Fees already paid are non-refundable except where required by law or expressly stated in writing.
9. WatchLlama ownership
WatchLlama and its licensors own the Service, software, designs, documentation, trademarks, and related intellectual property, excluding Customer Content. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your account term in accordance with these Terms.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or use the Service in a way that could harm WatchLlama, its providers, or others. Where reasonable, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination will survive.
11. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant uninterrupted operation, perfect security, or the accuracy, legality, availability, or effectiveness of signals, leads, source content, enrichment data, integrations, or AI-assisted output.
12. Limitation of liability
To the maximum extent permitted by law, WatchLlama and its suppliers will not be liable for lost profits, revenues, data, goodwill, business opportunities, or any indirect, incidental, special, consequential, exemplary, or punitive damages. WatchLlama's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid to WatchLlama during the 12 months before the event giving rise to liability or USD $100. Some jurisdictions do not allow certain limitations, so these limitations may not fully apply to you.
13. Indemnity
To the extent permitted by law, you will defend and indemnify WatchLlama from third-party claims, damages, and reasonable costs arising from your Customer Content, connected accounts, monitoring, outreach, violation of these Terms, or infringement of another person's rights.
14. General terms
If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, or transfer of the Service. These Terms and any referenced policies are the entire agreement about the Service unless a separate written agreement applies.
We may update these Terms and will post the revised version with a new effective date. Continued use after an update takes effect constitutes acceptance where permitted by law. Mandatory rights under applicable law are not limited by these Terms.
